These Terms of Service ("Terms") constitute a legally binding agreement between you and Meerath LLC ("Meerath," "we," "our," or "us") governing your access to and use of the Meerath website, applications, and digital legacy planning services (collectively, the "Service").

By accessing or using our Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not access or use our Service.

Eligibility

You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into a binding agreement
  • Your use of the Service does not violate any applicable laws or regulations
  • You will provide accurate and complete information as requested

Account Registration

To access certain features of our Service, you may need to register for an account. You agree to:

  • Maintain and promptly update your account information
  • Keep your password confidential and secure
  • Be solely responsible for all activities that occur under your account

Service Description

Meerath provides digital legacy planning tools that allow users to:

  • Create and store digital wills and other estate planning documents
  • Inventory and manage digital and physical assets
  • Designate beneficiaries and executors
  • Securely store important documents in a digital vault
  • Set up automated transfer protocols for digital assets

Our Service is designed to assist with legacy planning but is not a substitute for professional legal, financial, or tax advice. We recommend consulting with appropriate professionals for your specific situation.

Subscription and Payments

Subscription Plans

We offer various subscription plans with different features and pricing. Current subscription details are available on our Pricing page. We reserve the right to modify our subscription offerings and pricing at any time.

Payment Terms

By subscribing to a paid plan, you agree to:

  • Pay all fees associated with your selected subscription plan
  • Provide valid and up-to-date payment information
  • Automatic billing on a recurring basis until you cancel
  • Being responsible for any applicable taxes

Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

  • You will continue to have access to paid features until the end of your current billing cycle
  • Your account will revert to the free plan at the end of the billing cycle
  • We do not provide refunds for partial subscription periods

User Content

Content Ownership

You retain all ownership rights to any content you submit, upload, or display through our Service ("User Content"). By providing User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, translate, and distribute your User Content for the purposes of operating and improving our Service.

Content Restrictions

You agree not to upload, transmit, or share User Content that:

  • Violates any third-party rights, including intellectual property rights
  • Is unlawful, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable
  • Contains software viruses or other malicious code
  • Constitutes unauthorized advertising or solicitations
  • Impersonates any person or entity

Content Monitoring

We do not actively monitor User Content but reserve the right to review and remove any User Content that violates these Terms or may create liability for us.

Intellectual Property

Our Intellectual Property

The Service, including its text, graphics, logos, icons, images, and software, is owned by Meerath and is protected by copyright, trademark, and other intellectual property laws. You may not use, reproduce, distribute, or create derivative works based upon our intellectual property without our express permission.

Feedback

If you provide us with feedback or suggestions regarding our Service, you grant us the right to use this feedback without restriction or compensation.

Prohibited Conduct

You agree not to:

  • Use the Service for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to any part of the Service
  • Interfere with or disrupt the Service or servers connected to the Service
  • Harvest or collect user information without consent
  • Upload or transmit any malware, viruses, or other harmful code
  • Modify, adapt, translate, reverse engineer, decompile, or disassemble any portion of the Service

  • Create user accounts by automated means or under false pretenses

  • Supabase for database management
  • Resend for email communications
  • Stripe for payment processing
  • Other third-party APIs and services

These third-party services have their own terms of service and privacy policies. We are not responsible for the content or practices of these third-party services. Your interactions with any third-party service are solely between you and that third party.

Service Availability

We strive to keep our Service operational at all times, but we do not guarantee that the Service will be available without interruption. We reserve the right to suspend or terminate access to the Service for maintenance, upgrades, or other reasons.

No Guarantees

We cannot guarantee that documents created through our Service will be legally valid in all jurisdictions or that they will meet your specific legal needs. Legal requirements vary by location, and digital estate planning laws continue to evolve.

"As Is" and "As Available"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MEERATH AND ITS OFFICERS, DIRECTORS, EMPLOYEES, PARTNERS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE;
  • ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE;
  • ANY CONTENT OBTAINED FROM THE SERVICE; AND
  • UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT,

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU HAVE PAID US IN THE PAST TWELVE MONTHS.

Indemnification

You agree to defend, indemnify, and hold harmless Meerath and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with:

  • Your access to or use of the Service;
  • Your violation of these Terms;
  • Your violation of any third-party right, including without limitation any intellectual property right, publicity, confidentiality, property, or privacy right; or
  • Any claim that your User Content caused damage to a third party.

Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Madrid, Spain for the resolution of any disputes arising from these Terms or your use of the Service.

Term and Termination

These Terms will remain in full force and effect while you use the Service. We reserve the right to terminate or suspend your account and access to the Service at any time, for any reason, without notice or liability, including if we believe you have violated these Terms.

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Changes to Terms

We may modify these Terms at any time by posting the revised Terms on our website. Your continued use of the Service after any such changes constitutes your acceptance of the new Terms. If you do not agree to the new Terms, you must stop using the Service.

For significant changes, we will make reasonable efforts to provide notice, which may include sending an email to registered users or displaying a prominent notice on our website.

General Provisions

Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published by us, constitute the entire agreement between you and Meerath concerning the Service.

Waiver and Severability

Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

Assignment

You may not assign or transfer these Terms or your rights under these Terms without our prior written consent. We may assign our rights and obligations under these Terms without restriction.

Force Majeure

We will not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, network infrastructure failures, or strikes.
